Online Shop Terms and Conditions

General

This website is owned and operated by Axes System sp. z o. o. based in Gdańsk, mailing address: 80-215 Gdańsk, ul. Raciborskiego 35, Poland, with share capital PLN 100.000, entered into the Register of Entrepreneurs of the National Court Register kept by the District Court Gdańsk-Północ in Gdańsk under KRS no. 0000444422, Tax Identification Number NIP 9571067410. Axes System sp. z o. o. is hereinafter referred to as "Axes System”. Axes System is contactable electronically at: axes@axes.com.pl. This website shall hereinafter be referred to as "Service”.
This document, hereinafter referred to as "Terms and Conditions” sets out the terms and conditions for use of the Service and for sales of goods and services by Axes System through the Service.
In matters not regulated by these Terms and Conditions, the provisions of the Polish law shall apply, in particular the Polish Civil Code. International agreements on sales of goods, including the United Nations Convention on Contracts for the International Sale of Goods shall be excluded.
These terms and conditions may be subject to change. Changes to terms and conditions shall take effect within the time limit indicated by Axes System, but not less than 7 days after the date of release of new terms and conditions in the Service. Orders placed prior to the entry into force of the changes shall be processed according to the existing wording of the terms and conditions. Terms and conditions are available at all times on the website of the Service. The term "product" used in these Terms and Conditions shall mean a good or a service.

Conditions of Use of the Service

Terminal equipment with access to the Internet and web browser, such as Internet Explorer, Google Chrome etc., as well as an active email account are required to be able to use the Service, including browsing the assortment of the on-line shop and placing orders for products.
The Service enables the customers to browse the assortment of goods and services offered by Axes System, to purchase the goods and services and to communicate electronically with Axes System.
Due to the strictly professional nature of Axes System offer, we reserve the right to sell our products only to persons making the purchase for purposes directly related to their business or professional activity, where nature of the purchase is strictly professional.

Intellectual Property

The content contained in the Service, goods and services offered by Axes System, including text, graphics, logo, button icons, images, audio materials, digital downloads and data compilations is in whole the property of Axes System or the property of Axes System content providers and is subject to legal protection under provisions of the Polish law and international copyright laws, industrial property rights and database rights. It is prohibited to extract or reuse any of the contents of the Service, goods and services without the express written consent of Axes System.
"Axes System”, "CDIF 3” and "NEX" are trademarks owned by Axes System and must not be used in connection with any other non-Axes System products in a way which could mislead the customers and/or damage the reputation of and/or discredit Axes System.

Liability (Responsibility)

The Customer is responsible for maintaining the confidentiality of one's own account and password and for securing access to customer's computer and mobile devices. To the extent permitted by applicable laws, the Customer shall assume responsibility for all activities that occur under the account and password to the account. The Customer shall undertake all necessary measures to secure and maintain the confidentiality of one's own password and immediately notify Axes System of a suspicion that the password has been made known to a third party or is used in an unauthorised way. The Customer is responsible for ensuring the completeness and accuracy of data provided and for informing Axes System of any changes thereto.
The Customer is prohibited from posting to or transmitting via the Service any unlawful, obscene, offensive, threatening, defamatory, privacy policy and intellectual property rights violating content and/or content/materials in any other way harmful to a third party.
To the fullest extent permitted by applicable laws, Axes System shall not be liable for any disruptions, including interruption of Service caused by a force majeure event, unlawful act of a third party or Service's incompatibility with Customer's technical infrastructure.

Reporting Violations

If the Customer believes that any of the contents of the Service may constitute a violation of these Terms and Conditions and/or the applicable provisions of law and/or an injury to Axes System's reputation, they can report the violation. Violations shall be reported to Axes System email address indicated in the Terms and Conditions.
Similarly, any irregularities in the operation of the Service can be reported to Axes System email address indicated in the Terms and Conditions.

Electronic Communication

When contacting Axes System by means of electronic communication, in particular email or online form, the Customer agrees to receive communications from Axes System electronically and acknowledges that any contract, notification, information or other messages transmitted by Axes System in electronic form fulfills the legal requirement for providing such communications in writing, except when other forms of communication are required by mandatory applicable provisions of law.

Terms and Conditions of Sale of Goods and Services

Placing Orders

You place your order in the Service by:
- adding a product to cart,
- declaring that by placing the order the Customer is not acting as a consumer but in strict relation to the conducted business or professional activity (for technical reasons, such declaration is also required from legal persons),
- entering data for invoice, which Customers having an account in the CDIF User Zone may do by logging into that account using their login and password, and other Customers should fill the form
- entering the address for delivery, if other than stated in the invoice
- entering contact details (email or telephone number)
- selecting or accepting a delivery service/depending on available options
- checking that the order is correct and clicking the button "Order with payment obligation”.

After placing an order, the Customer will be redirected to the Przelewy24 payment service.
Orders for which payment is not received within 14 days shall be cancelled automatically.

Conclusion of the Contract

Placing an order through the Service and making payment is equivalent to submission of an offer to purchase goods or services specified in the order.
Once the order is placed and paid for, the Customer receives a confirmation email with detailed information about the order, including the selected delivery and payment method. The aforementioned email message constitutes the acceptance of the offer by Axes System.
In the event that an order cannot be completed as ordered, the Customer will be informed accordingly about the situation by email and the amount paid by the Customer will be reimbursed with immediate effect.
In the event than an order can be completed only in part, the Customer has the right to cancel the order or request partial completion according to the information received. Customer's failure to confirm partial completion of the order will result in cancellation of the entire order and subsequent reimbursement of the full amount paid.
The Customer may cancel an order with no consequences before the receipt of confirmation of the purchase offer by Axes System.

Execution of the Contract

Axes System shall execute a contract/order immediately after accepting an offer, not later than within 14 working days. Orders are executed from Monday to Friday, with the exception of non-working days, in accordance with the Polish laws. We make every effort to pack and ship parcels on the day of placing an order (for orders placed on non-working days, they are shipped on the first working day).
A contract shall be considered completed at the time of handover of the products to a delivery service.
In special circumstances, when timely execution of the contract is not possible for reasons not attributable to Axes System (force majeure, including an epidemic), order execution time may be subject to extension accordingly to the duration of such special circumstances. In such event, Axes System shall advise via the Service or by email of an obstacle and expected time of execution of the contract.

Product and Pricing Information

Product information available in the Service constitutes an invitation to conclude a contract.
The prices of goods and services are expressed in Polish zloty or, depending on selected location, in Euro.
Goods presented in the Service include the information on their prices excl. and incl. of VAT, with a VAT rate as applicable in Poland. In the event of purchase by an entity residing in the EU having a VAT-EU number, or export outside the EU, 0% VAT rate may apply.
Goods ordered for delivery outside the European Union may be subject to import duties and taxes once the goods reach the country of destination.
Any additional charges levied in relation to customs clearance shall be borne by the Customer. The applicable customs regulations may vary greatly from country to country, therefore it is recommended to check with the local customs office for more information. Please be advised that international shipments may be opened and inspected by customs authorities.

Warranty

Regulations with regard to statutory warranty shall not apply.
Goods purchased in the Service shall be covered by a 12-month warranty counting from the date of sending the goods to the Customer (delivery of the shipment by a delivery service). By giving the warranty, Axes System undertakes to repair the goods if the defect is inherent in the sold product. Other details of the warranty conditions are stated in the warranty document enclosed with the products to which the conditions apply.

Final Provisions

Any possible disputes arising in relation to the sales of products will be settled by a court competent for Axes System registered office.
Axes System's failure to take legal action in the event of Customer's breach of these Terms and Conditions shall not be deemed to be a waiver of any of its rights or legal remedies.
Axes System is the administrator of personal data of its Customers. Detailed information with regard to the protection of personal data and related entitlements is included in the Privacy Policy and Cookies available here.
